Legal opinion for crypto utility tokens

We provide legal opinions for crypto token issuers. Based on the information provided about the project, token sale and features of your token (tokenomics), we will be able to provide preliminary opinions on whether the token qualifies as a security token, utility token or other regulated/unregulated financial instrument.

Why do you need a legal opinion?

Legal opinion is required in order for you to be able to list a utility token at any centralised cryptocurrency exchange. Legal opinion might also be requested by the competent authorities within the process of obtaining required crypto licences.  

What do we do?

We analyse the token from the tokenomics perspective, look over all relevant documentation (white paper, terms of sale, SAFTs, marketing materials, etc.) as well as anything else that might have an impact on the legal classification of the token.  

In case we notice during the analysis any potential challenges for the token to qualify as a utility token, we offer legal advice relating to proper design of tokenomics and drafting of the relevant documents. 

After the analysis is completed, we form a comprehensive legal opinion on the utility token which includes a classification of the token in accordance with applicable European Union laws.

Dr. Peter Merc is managing partner in Lemur Legal, an advisory company which specializes in providing legal support for fintechs and crypto companies. As a legal advisor Peter advised on more than 20 successful token generation events and on few successful NFTs transactions. These include CargoX, Viberate, Eligma, RobotinaTolar Hashnet and Argetty NFT.Among the crypto clients of Lemur Legal are GateHub, CargoX, EllyPay, Bitnik, Dap19, Blocksquare, SkyEye and Bykep. As an expert for crypto regulation Peter lectures on international crypto events.

 

Peter is also cofounder and managing partner in Suricate Ventures, which is a privately financed venture capital firm with a smart money investment philosophy. In 2017 Peter founded Blockchain Think Tank Slovenia, a NGO which serves as a bridge between crypto industry and public sector. 

 

As an assistant professor Peter lectures at Law Faculty of New University in Ljubljana. Prior to his solo career, Peter worked in the banking sector in the fields of capital markets, compliance and bank’s supervision.

Our pricing

Depending on the complexity of the tokenomics and on the size of the relevant documentation that we need to analyse before drafting legal opinion, we charge between 1,500.00 and 2,500.00 EUR (+ VAT, if applicable) for the complete service.
